Welcome to ScribeMic AI. These Terms of Service ("Terms") govern your use of our website (scribemic.ai) and the purchase of our software products (the "Software"). By accessing our website or purchasing a license, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and Sydneil Technologies LLC ("Company," "we," "us," or "our").

1. Software License & EULA

The purchase of a license grants you the right to use the software, not ownership of the software itself. The specific rules regarding how you may use, install, and interact with the software are governed by our separate End-User License Agreement (EULA), which is presented to you and must be accepted during the software installation process.

2. Purchases and Payments

Our software is sold as a one-time purchase. We do not charge recurring monthly or annual SaaS subscription fees.

Payment Processing: All sales and financial transactions are securely managed and processed by our trusted third-party partners. We do not collect or store your credit card information.
License Keys: Your license key is strictly for your personal or professional use. It may not be resold, shared, transferred, or distributed.

3. Updates and Support

Your purchase entitles you to a perpetual license for the specific version of the software available at the time of your purchase, subject to the terms of this Agreement.

Your one-time purchase includes exactly twelve (12) months of complimentary software compatibility updates and standard email support, beginning on the date of purchase (or for a specific period determined by your selected license tier, as specified during the checkout process).

After the Update Period: After your applicable update period expires, your current version of the software will continue to function normally. You may continue to use the version you purchased indefinitely, provided it remains compatible with your computer's operating system.
Future Upgrades: We do not guarantee that older versions of our software will remain compatible with future major Windows operating system updates released after your 12-month period expires. To receive newer versions after your first year, you will need to purchase a new, updated license.

4. Refund Policy (All Sales Final)

Because our software is a digital product distributed via a unique license key, all sales are final. Once a purchase is completed and a key has been issued, we do not offer refunds, returns, exchanges, or cancellations under any circumstances. We strongly encourage you to carefully review our system requirements and compatibility guidelines on our website prior to making a purchase.

5. Acceptable Use of the Website

You agree to use this website only for lawful purposes. You are strictly prohibited from:

Using automated scripts, bots, or spiders to scrape or extract data from our website.
Attempting to interfere with the website's network security, hosting environment, or attempting to bypass our payment gateways.
Submitting false, malicious, or spam information through our Contact or Support forms.
Impersonating Sydneil Technologies LLC or any of our employees.

We do not guarantee that the website or software will be completely error-free or that it will meet your specific, unique requirements outside of its core dictation functionality.

9. Limitation of Liability

In no event shall the Company (nor its LLC members, managers, employees, or affiliates) be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data, business interruption, or malfunction of your hardware) arising out of or in any way related to the use of or inability to use the website or software, even if the Company has been advised of the possibility of such damages. You expressly acknowledge and agree that you use the software and website at your own sole risk.

Notwithstanding any damages that you might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and your exclusive remedy for all of the foregoing shall be limited to the greater of the amount actually paid by you for the software or thirty U.S. dollars ($30.00). The foregoing limitations will apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the federal or state courts located in Delaware.

We may update these Terms from time to time to reflect operational shifts or legal regulations. When significant updates occur, we will refresh the "Last Updated" date at the top of this page and notify active license holders via the email address on file. By continuing to access or use our website after those revisions become effective, you agree to be bound by the revised terms.
